1. Definitions

a. "Seller" shall mean
Ing. Arvid Nesheim
b. "Buyer" shall mean the company, organisation or private individual who
purchases a service from Ing. Arvid Nesheim
c. "Work" shall mean all information, orally or in writing, e.g. reports,
descriptions, specifications, sketches or drawings provided by "Seller" in
connection with the service.
d. "Sales Contract" shall mean "Seller's" quotation in writing and "Buyer`s"
order in writing.
2. Confidentiality
Information which "Buyer", orally or in writing, conveys to "Seller" in
connection with the enquiry for a service or in connection with performance
of the "Work" shall be treated confidentially and shall not be exploited by
"Seller". Furthermore, "Seller" shall keep secret and not exploit the
information included in the "Work". These obligations do not apply, however,
if it can be documented that:
a. - the information was publicly known at the time
the information was conveyed
b. - or that the information was already known by "Seller" at the time the
information was conveyed
c. - or that the information was received legally from a third party without
any agreement of confidentiality with "Buyer"
3. Application of the "Work"
It shall be "Buyer's" responsibility to verify the adequacy of the
"Work" prior to application of it. "Seller" shall have no responsibility for
possible losses incurred by "Buyer" or third party as a consequence of
purchasing or applying the "Work".
4. Payment
Payment for the "Work" shall be arranged within 30 days after issue of
invoice. In the event of later payment, interest of 1.5% per month will be
charged on the full amount.
5. Law and Arbitration
5.1 These conditions shall be construed and the legal relations between
the parties shall be determined in accordance with the laws of Norway
5.2 Any dispute arising out of
these conditions or the "Sales Contract" that cannot be settled amicably
shall be settled by arbitration in accordance with Chapter 32 of the
Norwegian Civil Procedure Act. The parties shall choose Oslo City Court in
Norway as legal venue.
